1. Agreement to Terms
By accessing or using the PreCognise platform ("Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and PreCognise Inc., a company incorporated in Canada. For users in the United Kingdom, these Terms also apply to PreCognise UK.
2. Definitions

3. Eligibility
You must be at least 16 years of age to create a candidate account. Institutional and employer accounts require an authorized representative aged 18 or older. If registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Account Registration and Security
4.1 Account Types

You agree to provide accurate, complete, and current registration information; maintain the accuracy of your account information; keep login credentials confidential; and notify us immediately at support@precognise.com [placeholder] if you suspect unauthorized access.
5. Candidate Terms
5.1 Profile Accuracy
Candidates agree to provide truthful, accurate, and complete information; not misrepresent qualifications, experience, credentials, or identity; not upload content that infringes third-party rights; and promptly update profile information when it becomes inaccurate.
Providing false information for the purpose of obtaining a verified credential constitutes fraud and may result in immediate account termination and referral to appropriate authorities.
5.2 Verification Services
When candidates initiate credential verification:
- Candidates consent to PreCognise engaging authorized third-party verification providers to validate their credentials
- Verification fees are non-refundable once the verification process has commenced
- Verification results reflect information available to the provider at the time of verification and may not capture all historical records
- Candidates authorize PreCognise to display verified status indicators on their profile for as long as the account is active
5.3 Agentic AI Features
By enabling agentic job application features, candidates authorize PreCognise's AI to act on their behalf within the defined scope; remain solely responsible for the content of any application submitted; acknowledge that PreCognise does not guarantee employment outcomes; and may disable agentic features at any time through account settings.
5.4 Pilot Programme Participation
Candidates who join through an institutional pilot receive free access to core platform features for the pilot period (typically 6 months). Following the pilot period, continued access to premium features requires a paid subscription. Pilot-specific terms are incorporated into and supplemented by these Terms.
6. Institutional Terms
Institutions participate in the Platform under a separate institutional partnership agreement.
For pilot programs, participating institutions may promote PreCognise to students, graduates, alumni, and other learners through communications, events, career services, or other outreach activities. Individuals independently choose whether to register and participate in the Platform.
Unless otherwise agreed in writing, participating institutions do not provide student personal information to PreCognise for the purpose of account creation or platform participation. Users are responsible for creating and managing their own accounts and for providing information directly to PreCognise.
7. Employer and Recruiter Terms
7.1 Authorized Use of Candidate Data
Employers and recruiters agree to:
- Use candidate information solely for legitimate hiring and recruitment purposes
- Not download or systematically extract candidate data beyond what is necessary for a specific hiring process
- Not contact candidates outside the Platform without the candidate's explicit consent
- Not discriminate against candidates on the basis of protected characteristics
- Retain candidate information only as long as necessary for the relevant hiring process
7.2 Verification Reliance
Verification confirms what was validated at the time of verification and does not guarantee ongoing accuracy. PreCognise makes no representation as to a candidate's suitability for any specific role. Employers remain responsible for their own hiring decisions and compliance with applicable employment legislation.
7.3 Subscription Terms
Recruiter subscriptions are billed monthly and auto-renew unless cancelled at least 5 business days before the renewal date. Fees paid are non-refundable except as required by law.
8. Prohibited Conduct
All users agree not to:
- Submit false, misleading, or fraudulent information
- Attempt to circumvent the Platform's verification mechanisms
- Access or attempt to access another user's account without authorization
- Use the Platform to harvest or systematically collect personal information about other users
- Upload or transmit malware, viruses, or other harmful code
- Use the Platform for any unlawful purpose or in violation of applicable law
- Engage in harassment, abuse, or threatening behaviour toward other users
- Attempt to reverse engineer, decompile, or extract the source code of the Platform
- Use automated tools, bots, or scripts to access the Platform without prior written consent from PreCognise
9. Intellectual Property
9.1 PreCognise Intellectual Property
The Platform, including its AI matching engine, semantic search technology, and all PreCognise-developed content, is owned by PreCognise and protected by applicable intellectual property laws.
9.2 User Content
You retain ownership of the content you submit to the Platform. By submitting content, you grant PreCognise a non-exclusive, worldwide, royalty-free licence to use, store, process, and display that content as necessary to provide and improve the Platform. You represent and warrant that you own or have the rights to the content you submit and that it does not infringe any third-party intellectual property rights.
10. AI Features and Limitations
- AI outputs are generated probabilistically and may not always be accurate, complete, or appropriate for your specific circumstances
- Match scores and recommendations do not constitute guarantees of hiring outcomes
- Career coaching content is general in nature and does not constitute professional legal, financial, or career advice
- You are responsible for reviewing any AI-generated content before use
11. Fees and Payment
Verification fees are non-refundable once the verification process has commenced. Annual subscriptions are non-refundable except where required by law. Monthly subscriptions may be cancelled at any time; access continues until the end of the current billing period. PreCognise reserves the right to change pricing with 30 days' written notice to active subscribers.
12. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. PreCognise is an employability infrastructure platform, not a staffing agency. Use of the Platform does not guarantee employment outcomes for candidates, successful hires for employers, or specific outcome metrics for institutions.
To the maximum extent permitted by applicable law, PreCognise's total liability to any user shall not exceed the amount paid by that user in the 12 months preceding the claim. PreCognise is not liable for indirect, incidental, consequential, or punitive damages. Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify and hold PreCognise harmless from any claims, damages, losses, or expenses arising from: your use of the Platform in violation of these Terms; content you submit; your violation of applicable law; or any misrepresentation of your credentials or identity.
14. Termination
You may close your account at any time through your account settings. PreCognise may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or illegal conduct, or if we are required to do so by law. Upon termination, your data will be handled in accordance with our Privacy Policy.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. For UK users, English law applies to the extent required by applicable consumer protection legislation. Any dispute that cannot be resolved informally shall be submitted to binding arbitration unless prohibited by applicable law.
16. Changes to These Terms
Material changes will be communicated via email or in-platform notification at least 14 days before taking effect. Continued use of the Platform after the effective date of updated Terms constitutes acceptance.
