Terms of Service

These Terms of Service ("Terms") govern your use of PreCognise (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

This document is a plain-language template. It is not legal advice.

1. Who We Are

PreCognise is a professional credentialing and profile platform that helps individuals build verified professional profiles, match to jobs, apply to roles through integrated ATS providers, and communicate with recruiters and institutions.

2. Eligibility

You must be at least 16 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of an organization (e.g. as a recruiter or institution admin), you represent that you are authorized to bind that organization.

3. Accounts

  • You are responsible for maintaining the confidentiality of your credentials.
  • You must provide accurate information and keep it current.
  • You may not share your account or impersonate another person.
  • We may suspend or terminate accounts that violate these Terms or pose a risk to the Service or other users.

4. User Roles

The Service supports three roles:

  • User (candidate): builds a profile, applies to jobs, uses the coach.
  • Recruiter: searches candidate profiles and initiates conversations.
  • Institutional: represents an employer or school and can verify employment or education claims.

Different features and obligations apply to each role as presented in the Service.

5. Your Content

"Your Content" means any information you submit, including profile data, employment and education history, messages, cover letters, life goals, uploaded media, and psychometric answers.

  • You retain ownership of Your Content.
  • You grant PreCognise a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works (e.g. embeddings, summaries, match scores) of Your Content solely to operate and improve the Service.
  • You represent that you have the rights to submit Your Content and that it does not infringe third-party rights or contain unlawful material.

6. AI Features

The Service includes AI-powered features such as a career coach, recruiter search assistance, resume generation, and gap analysis. AI outputs:

  • May be inaccurate, incomplete, or misleading.
  • Should not be relied on as professional advice (career, legal, financial, or otherwise).
  • Are generated in part by third-party LLM providers who process your inputs under their own terms.

You are responsible for reviewing any AI-generated content before using or submitting it, including automatically generated job applications.

7. Job Applications and ATS Integrations

When you approve a job application, you authorize PreCognise to submit, on your behalf, the cover letter, form answers, and resume you approved to the relevant third-party ATS (Greenhouse, Lever, Ashby, or others we support). We do not guarantee delivery, acceptance, or response from any employer. You remain solely responsible for the accuracy and truthfulness of everything submitted.

8. Verification

Employment and education claims may be marked as "verified" when confirmed by an institution that uses the Service. Verification reflects an institution's confirmation at a point in time; it is not a warranty by PreCognise. We do not guarantee the accuracy of unverified claims.

9. Messaging and Conduct

You agree not to use the Service to:

  • Harass, threaten, defame, or harm others.
  • Send spam, unsolicited sales messages, or chain messages.
  • Post unlawful, fraudulent, discriminatory, or sexually explicit content.
  • Upload malware, exploit security vulnerabilities, or attempt to gain unauthorized access.
  • Scrape, reverse-engineer, or resell the Service or its data.
  • Misrepresent your identity, credentials, employment, or education.
  • Use the Service to violate any law or third-party right.

We may remove content and suspend accounts that violate these rules.

10. Fees and Usage Limits

Some features may be subject to usage limits or fees, including AI-powered features that incur provider costs. Where usage limits apply, we will make them visible in the Service. We may change pricing or limits with reasonable notice.

11. Third-Party Services

The Service integrates with third-party services including ATS providers, authentication providers, LLM providers, and hosting providers. Your use of those services is governed by their own terms. We are not responsible for the acts or omissions of third parties.

12. Intellectual Property

The Service, including its software, design, and branding, is owned by PreCognise or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, no rights are transferred by these Terms.

13. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access at any time for violation of these Terms, risk to the Service, or where required by law.
  • Sections intended to survive termination (ownership, disclaimers, limitations of liability, indemnity, governing law) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT GUARANTEE ANY JOB OUTCOME, MATCH, INTERVIEW, OR HIRE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECOGNISE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

16. Indemnity

You agree to indemnify and hold harmless PreCognise and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any law or third-party right.

17. Changes to the Service or Terms

We may modify or discontinue features at any time. We may update these Terms by posting a new version with an updated "Last updated" date. Material changes will be communicated through the Service or by email. Continued use after changes means you accept the new Terms.

18. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which PreCognise is established, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless mandatory consumer-protection laws in your country provide otherwise.

19. Miscellaneous

  • If any provision is unenforceable, the rest remains in effect.
  • Our failure to enforce a provision is not a waiver.
  • You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • These Terms, together with the Privacy Policy, form the entire agreement between you and PreCognise.
